The short, honest version of the rules.
These terms cover the website and the Prosper8y Front Desk System. If you sign the Founding Client Agreement, that agreement is the contract for your account and it wins wherever the two differ. This page is the public summary the carriers, the payment processor and the law ask us to post.
1. What the service is
The Prosper8y Front Desk System is a lead-answering system for licensed contractors. In order, on every lead: (1) a lead-email reader that turns every vendor lead email, web form and ad form into a lead record within seconds; (2) an owner ring with live connect: your phone rings, a short spoken briefing tells you where the lead came from, their name, their city and what they want, and you say yes to be connected to the lead; (3) an AI callback that, only when you don't pick up and only when the lead's source carries consent, calls the lead back between 8 AM and 9 PM in the lead's own time, says it is an AI and that the call is recorded, and takes down when the lead wants a phone call with you and texts it to you (it does not put anything on your calendar); a web, ad or email lead that arrives outside your ring hours waits until they open, and the assistant also answers calls to your line that you don't pick up, at any hour; (4) a text to leads who agreed to texts and did not answer that callback; and (5) a weekly report. Support, unlimited fixes and a monthly 20-minute wins call are included in the monthly fee.
2. Fees
- At signature: $2,497, which is the $2,000 one-time install plus the first month of service.
- Service: then $497 a month starting one month after go-live day, charged monthly to the card on file. Cancel any time.
- AI minutes: 500 included each month; $0.40 per minute over that, billed the following month. Your minutes used are on every Friday report.
- Phone number and carrier text-registration fees are included.
Prices are shown as final numbers. We don't quote ranges, and the fee schedule in your signed agreement is the only payment schedule.
3. Cancel any time
There is no term. Service renews monthly, charged to the card on file, until you cancel by email to morgan@prosper8y.com. Service runs to the end of the month you have paid for, and the metered minutes for that final month are billed once at the end. After the balance is paid you may port your phone number to another carrier; we'll release it within 5 business days of the request.
4. The guarantee
The only guarantee is the 30-day guarantee written in the Founding Client Agreement you sign before any charge. For your first 30 days live, every lead that comes in with a phone number during your hours gets your phone ringing within 60 seconds. If we miss that on more than 1 in 10 leads, we refund the full $2,497. Your part: pick up and say yes on at least 7 of every 10 rings, and point your lead sources at the system within 3 business days. Fewer than 20 leads, and the window stays open until you reach 20. The record is the weekly report, which shows the count as it stands: leads, rings on time, and your pickups. You have 5 business days after each report to dispute any line in writing to morgan@prosper8y.com; after that the line stands. Nothing on the website, in an ad or in an email adds to it. Modeled revenue figures on the site are not a promise of results.
5. Your account and your duties
- You are a business, licensed where a license is required, and the person signing can bind it.
- You keep your own licensing, advertising, pricing and customer relationships. The assistant only says what you approve at intake.
- You put the consent language we supply on every form the system serves and you confirm the numbers we contact belong to people who contacted your business themselves. See the SMS terms.
- The assistant calls a lead only when the lead's source carries that consent. A person who calls your business line and is cut off or missed may be called back by the assistant up to two times about that inquiry.
- You don't use the system to call or text anyone who asked not to be contacted, or for anything unlawful.
6. Data, inbox access and recordings
Your leads, recordings, transcripts and reports are yours. We hold them to run the service, per the privacy policy. On cancellation we export your lead records and reports on request and delete the rest by hand within 90 days, except the consent, STOP, agreement and billing records we must keep. The system's design, prompts, workflows and code are ours. With your written permission, your before-and-after numbers may be published as a case study; without it, they aren't.
Recordings. Only the assistant's own calls are recorded, and the assistant says so at the start of each one. Calls connected between you and a lead are not recorded.
Your lead inbox. So we can verify that every lead email gets through, the system connects directly to the inbox where your lead notification emails arrive, through an app password you create and can revoke at any time. We never ask for or hold the account's real password. The connection only reads. It cannot send, delete, move, flag or mark a message as read. The system looks at the sender and subject line of each message and opens only the ones that look like a lead notification. A message that is not a lead is skipped and nothing of its contents is kept, except that a message that trips the spam screen may be kept as a review item and texted to you, and a message waiting for the AI read below is held on our server's disk for a few seconds until that read has run. A message that looks like a lead notification from a sender we do not recognise may be read by an AI service (Anthropic) to work out whether it is a lead, and once a day the sender and subject line, and sometimes the first few lines, of automated messages from unknown senders are checked the same way so that no lead source is missed. The app password is stored encrypted and is deleted, with the records the reader keeps about you, when the agreement ends. We recommend a mailbox that holds only lead notifications. Microsoft 365 and Outlook.com inboxes cannot be connected this way today, so those clients forward their lead emails instead, as does anyone who would rather not connect an inbox.
Confidentiality. Each side keeps the other's non-public business information private, during the agreement and for 2 years after it ends, as the Founding Client Agreement sets out.
7. Third parties and uptime
The system runs on carriers and vendors we don't control (Twilio, Vapi and the voice vendors it uses, which are OpenAI, ElevenLabs and Deepgram, Google, Stripe, Anthropic and our host). Carrier text-message registration is outside our control; once the carrier approves the number, usually one to two weeks, missed-call text turns on. Voice goes live first, 3 to 5 business days after your intake answers are in; everything is live within 5 to 10 business days. The moment the system is switched live, it emails you a go-live confirmation. We'll do what we can to keep the system up and we'll be honest when it isn't, but we can't promise a vendor's uptime.
8. Limitation of liability
To the extent the law allows, Prosper8y AI's total liability for anything arising from the service or these terms is capped at the fees you paid us in the 3 months before the claim. We aren't liable for lost profits, lost leads, lost jobs, or indirect or consequential damages, even if we were told they were possible. The service is provided as described in section 1 and in your agreement, and otherwise without warranties of any kind. Some of this may not apply where the law doesn't allow it.
9. Indemnity
You'll cover us for claims that come from your own breach of these terms: contacting people without consent, unlawful use of the system, or your own dealings with your customers. We'll cover you for claims that the system as we built it infringes someone's intellectual property.
10. Governing law and venue
California law governs these terms, without regard to its conflict-of-laws rules. Any dispute is brought in the state or federal courts sitting in Kings County, California, and both sides agree to that venue. Before filing, either side emails the other and we try for 30 days to sort it out ourselves.
11. Changes
We can update these terms; the new version is posted here with a new date, and active clients get an email. Your signed agreement doesn't change unless you sign a new one.
